Terms of Service
Effective and last updated: 16 October 2026
1. Agreement to Terms
These Terms of Service (the “Terms”) are an agreement between you and Mažoji Bendrija “Dekma”, a company registered in the Republic of Lithuania, legal entity code 307544235, registered at Sodžiaus g. 34, Macenių k., LT-90100 Plungės r. (“Sellbert”, “we”, “us”). Data about the Company are collected and stored in the Register of Legal Entities; the register manager is the state enterprise Centre of Registers.
The Terms govern your access to and use of the website sellbert.com (the “Site”), our web application, software, and AI-powered sales assistant services (together, the “Services”). By creating an account, or otherwise accessing or using the Site or the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Site or the Services.
The Services are intended for business and professional use by users who are at least 18 years old. Persons under 18 are not permitted to use the Services.
If you have questions about these Terms, our Privacy Policy, or our Cookies Policy, contact us at sylvester@sellbert.com.
2. The Services
Sellbert is an AI sales assistant for business-to-business companies. When you give Sellbert the address of a website, it reads only the public pages of that website, works out who buys from that business, and finds companies that fit, each with a dated reason to talk to you, such as hiring, raising money, or running Facebook ads. For each company it finds the right people to contact, including work email addresses where it can find them, writes a first email and LinkedIn note from a real detail about that company, sends day-two follow-ups in the same thread, and, where you enable it, sends LinkedIn invites and messages kept to careful daily limits. Sellbert drafts replies to interested answers, books meetings through your booking link or calendar, and sends you a weekly summary.
Sellbert offers a free preview that you can run without signing up. In the preview, Sellbert will not email anyone. The specific Services available to you may depend on your plan or a separate agreement (such as an order form) between you and Sellbert. Where a separate written agreement conflicts with these Terms, the separate agreement prevails.
3. Accounts and Registration
To use most of the Services you must create an account and provide accurate, current, and complete information, and keep it up to date. If you sign up on behalf of your employer, agency, or another organisation, that organisation is the account owner, you confirm that you are authorised to bind it to these Terms, and “you” in these Terms refers to that organisation.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, including by team members you invite. Notify us immediately at sylvester@sellbert.com if you believe your account has been compromised. We may suspend or terminate accounts registered with untrue, inaccurate, or incomplete information.
4. Your Obligations
You represent and warrant that:
- You have the legal capacity to enter into these Terms and will use the Services only for lawful business purposes.
- You are the sender of the messages sent through the Services. You are responsible for their content and for having a lawful basis to contact each person you reach through the Services.
- Your outreach complies with all laws that apply to it, including data-protection law (such as the GDPR), electronic marketing rules (such as national ePrivacy rules in the EU, the UK PECR, and the US CAN-SPAM Act), and other applicable laws.
- You identify yourself and your business truthfully in your messages and do not use false or misleading subject lines or sender details.
- You honour opt-out requests and objections promptly, and you stop contacting anyone who asks you to.
- You comply with the terms of LinkedIn and of every other account you connect to the Services.
- The information you give us about your business is accurate.
- You will not use the Services on behalf of a competitor of Sellbert, or to build a competing product or service.
5. Messages You Approve
By default, nothing is sent through the Services until you approve it. Sellbert prepares drafts for you, and you can edit any draft, ask Sellbert to regenerate it, or skip it. Once you approve a message, you authorise us to send it in your name.
Where the product offers it, you may configure how messages are approved; any sending option you enable authorises the resulting messages as if you had approved each one, and you remain responsible for the messages sent from your account and for their content.
6. Intellectual Property
The Services, including all software, source code, databases, functionality, designs, text, graphics, and other content, and the Sellbert trademarks, logos, and branding, are owned by Sellbert or its licensors and are protected by the laws of the Republic of Lithuania and international intellectual-property conventions. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes during your subscription. No other rights are granted; you may not copy, modify, distribute, sell, lease, or create derivative works of any part of the Services, and you may not reverse engineer or decompile any software except to the extent permitted by mandatory law.
You grant us the right to identify you as a customer and to display your company name and logo on our customer list and website; you may opt out at any time by emailing us.
7. Your Content
“Your Content” means the materials you provide to or process through the Services, including the website address you enter, your business description, your campaign settings, any lists you upload, the messages and replies in your campaigns, and the calendar and CRM data you connect, together with the outputs the Services generate for you, such as summaries, drafts, and reports. You retain all ownership rights in Your Content. Sellbert does not acquire any ownership rights in it. Company and contact data that the Services surface to you (see Section 8) is licensed, not owned by you, and is governed by Section 8.
You grant Sellbert a worldwide, non-exclusive, royalty-free licence to access, host, store, process, analyse, transmit, display, and reproduce Your Content solely as necessary to provide and secure the Services for you and as otherwise described in these Terms and our Privacy Policy. We do not use Your Content to train general-purpose or third-party AI models.
You represent and warrant that you own or have the necessary rights, consents, and permissions for Your Content, and that Your Content and your use of the Services do not infringe the rights of any third party or violate any law. We have no obligation to monitor Your Content, but we may remove or block access to content that we reasonably believe violates these Terms or applicable law.
8. Company and Contact Data
The Services show information about companies and the people to contact at them, such as company details, dated reasons to reach out, names, job titles, and work email addresses where found. This information is compiled from public sources and third-party data providers. We license it to you only for your own outreach within the Services and for syncing to your own connected CRM. You may not resell it, publish it, or use it to build a separate database.
We do not guarantee that this information is accurate or complete, or that any email address is valid or current. You are responsible for checking it before you rely on it. You must stop contacting, and delete from your campaigns, any person who objects or asks to be removed.
9. Connected Accounts and Sending
When you connect an account such as Gmail, Outlook, a calendar, a CRM, Slack, or LinkedIn, you authorise Sellbert to access it through the permissions you approve with that provider, so that the Services can send messages, read replies, and book meetings on your behalf.
Emails are sent from a separate sending address set up for your campaigns, not your main domain, and sending volumes start low and increase gradually. We may set daily sending limits and pause sending to protect deliverability, to protect your accounts, or to comply with law. Inbox placement and deliverability depend on many factors outside our control and are not guaranteed.
LinkedIn steps are optional and are kept to careful daily limits. LinkedIn does not publish safe limits, so we cannot promise that LinkedIn will not restrict or suspend your account, and that risk is yours. We are not responsible for the availability, security, or content of third-party accounts and services, or for changes those providers make to their access or APIs.
10. Usage Data
We may collect and analyse data relating to the provision, use, and performance of the Services (“Usage Data”), such as feature usage, performance metrics, and error logs. We may use aggregated and/or de-identified Usage Data, in a form that does not identify you or any individual and does not contain Your Content, to operate, benchmark, and improve the Services. Nothing in these Terms grants you any rights in the Services or in any improvements to them.
11. Feedback
If you send us suggestions, ideas, or other feedback about the Services, you grant us an unrestricted, perpetual right to use it for any purpose without compensation or attribution. Feedback is not confidential.
12. Fees and Payment
- Fees. Fees for the Services are as set out on the Site at the time of purchase or in a separate agreement between you and Sellbert. Unless stated otherwise, fees are exclusive of applicable taxes, which you are responsible for.
- Billing. Fees are billed in advance for each billing period. Payments are processed by our payment processor, Stripe. By providing a payment method, you authorise us and our payment processor to charge the applicable fees, including on renewal.
- Renewal and cancellation. Subscriptions renew automatically for successive billing periods unless you cancel before the renewal date. You can cancel online at any time, without a call, using the cancellation option in your account. Cancellation takes effect at the end of the current billing period, and you keep access to the Services until then.
- Money-back window. For new subscriptions, you may cancel and request a full refund within 14 days of your first payment by emailing sylvester@sellbert.com with the payer's name and your account email. Outside this window, fees already paid are non-refundable except where required by mandatory law or agreed in writing.
- Price changes. We may change our prices with advance notice. Price changes do not affect a billing period you have already paid for.
- Non-payment. We may suspend or terminate access to the Services for accounts with unpaid amounts due.
13. Prohibited Activities
You agree not to:
- Send unsolicited bulk messages or spam through the Services.
- Contact people where the law requires prior consent that you do not have.
- Use purchased or scraped lists, or any list you have no right to use, with the Services.
- Send deceptive or misleading messages, use false or misleading subject lines, or impersonate any person or organisation.
- Harass, abuse, or harm the people you contact, or continue to contact anyone who has objected or asked to be removed.
- Include special categories of personal data (such as data about health, race, religion, or political opinions) in your messages.
- Get around the sending limits, LinkedIn limits, or other safeguards built into the Services.
- Circumvent, disable, or interfere with security features of the Services, or probe, scan, or test their vulnerability without authorisation.
- Upload or transmit viruses, malware, or other harmful code, or interfere with the proper working of the Services or the networks connected to them.
- Systematically retrieve data from the Site or Services to create or compile a collection, database, or directory without our written permission.
- Access the Services by automated means (bots, scrapers, scripts) other than through interfaces we provide for that purpose.
- Copy, frame, or mirror any part of the Site or Services, or remove copyright or proprietary notices.
- Resell, sublicense, or make the Services available to third parties except as expressly permitted by these Terms or a separate agreement.
If you breach this section, we may suspend or terminate your access immediately, without refund of prepaid fees for the affected period, and we may report unlawful activity to the competent authorities.
14. Term, Suspension, and Termination
These Terms take effect when you first accept them or first access the Services, and remain in force while you use the Services. You may stop using the Services and terminate your account at any time. We may suspend or terminate your access to all or part of the Services if you materially breach these Terms, if required by law, or if we discontinue the Services; where practicable, we will give you reasonable notice.
Upon termination, your licence to the Services ends and you must stop using them, we stop sending messages on your behalf, and we will delete Your Content as described in our Privacy Policy. Messages already sent cannot be recalled. Amounts accrued before termination remain payable. Sections that by their nature should survive termination (including intellectual property, confidentiality, disclaimers, limitations of liability, and indemnification) survive.
15. Modifications and Availability
We are continuously improving the Services and may change, add, or remove features at any time. We do not guarantee that the Site or Services will be available without interruption. Maintenance, updates, and factors beyond our reasonable control, including outages at email providers, LinkedIn, calendar or CRM providers, or AI model providers, may cause downtime or delay sending. We will make reasonable efforts to keep planned maintenance short and, where practicable, to notify you in advance of significant disruption.
16. Third-Party Services and Links
The Services interoperate with, and may contain links to, third-party websites, platforms, and services, such as Gmail, Outlook, Google Calendar, Calendly, Cal.com, HubSpot, Pipedrive, Salesforce, Slack, LinkedIn, and Stripe. We do not control third-party services and are not responsible for their content, terms, or data practices; your use of them is governed by their own terms and privacy policies. Sellbert is an independent product and is not affiliated with, endorsed by, or sponsored by LinkedIn, Google, Microsoft, or any other platform that the Services work with.
17. Disclaimer
Except as expressly stated in these Terms or required by mandatory law, the Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure. We do not guarantee any replies, meetings, sales, or any other result from your use of the Services. Any figures or examples shown on the Site are illustrative and are not a promise of results. AI-generated summaries, company matches, reasons, and drafts may be wrong; they are a working aid, and you are responsible for reviewing them before you approve a message.
18. Limitation of Liability
To the fullest extent permitted by law, Sellbert and its directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, or loss of data, arising out of or in connection with the Services, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the fees you paid to us in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.
19. Indemnification
You agree to defend, indemnify, and hold harmless Sellbert and its officers, employees, and agents from and against any third-party claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services in breach of these Terms; (b) Your Content; (c) your breach of your representations, warranties, or obligations under these Terms, including your obligations under Section 4; (d) your violation of the rights of a third party; or (e) claims by people you contacted, by platform providers, or by regulators arising from your campaigns or messages.
20. Privacy and Data Protection
Our collection and use of personal data in connection with the Services is described in our Privacy Policy and Cookies Policy. For the personal data in your campaigns (the people you contact, the lists you upload, and the replies you receive), you are the data controller and Sellbert processes that data on your behalf as your data processor, only on your instructions and to provide the Services. To the extent that Sellbert itself collects business contact data from public sources and data providers to build and maintain its company and contact data, Sellbert acts as an independent controller for that collection, as described in the Privacy Policy. To the extent the GDPR applies, a data processing agreement applies and is available on request. You are responsible for the accuracy and lawfulness of the data you provide and for your own compliance with data-protection laws applicable to your use of the Services.
21. Electronic Communications
By using the Services you consent to receive communications from us electronically, by email or through the Services, and you agree that electronic agreements, notices, and records satisfy any legal requirement that a communication be in writing. We send notices to the email address associated with your account; notices are deemed received on the day after sending.
22. Governing Law and Disputes
These Terms are governed by the law of the Republic of Lithuania. Before starting formal proceedings, you agree to first contact us at sylvester@sellbert.com so we can try to resolve the dispute informally within 30 days. Disputes that cannot be resolved informally will be settled by the competent courts of the Republic of Lithuania. If you are a consumer resident in the EU, you retain any protections afforded by mandatory provisions of the law of your country of residence.
23. General
- Entire agreement. These Terms, together with the Privacy Policy, Cookies Policy, any data processing agreement, and any separate written agreement between you and Sellbert, constitute the entire agreement between the parties regarding the Services.
- Changes to these Terms. We may amend these Terms from time to time. Amendments take effect when posted on the Site with an updated date; for material changes we will give reasonable advance notice. Continued use of the Services after changes take effect constitutes acceptance.
- Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. We may assign our rights and obligations under these Terms; we will inform users via the Site. You may not assign these Terms without our written consent.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
- No agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Sellbert.
